Intellectual Property & Copyright Notice

Version 5.0 · Effective Date: October 23, 2026 · Last Updated: October 2026

Renderal Studio LLC · A California Limited Liability Company · exacrit.com

Plain English Summary: You own everything you submit. ExaCrit owns its platform, methodology, and brand. Neither party can take what belongs to the other. This notice explains exactly where those lines are.

1. YOUR WORK: YOUR RIGHTS. FULL STOP.

THE BOTTOM LINE: You own everything you submit. ExaCrit takes zero ownership interest in your creative work. The only rights ExaCrit holds are the minimum required to run the Service on your behalf, and nothing more.

When you submit creative work to ExaCrit, you retain 100% of all intellectual property rights, including copyright, trademark rights, design rights, trade dress, moral rights where applicable, and any other proprietary rights, in and to your submitted content ("Your Content").

Submitting your work to ExaCrit for critique does not transfer, assign, license, convey, or diminish any ownership interest in Your Content to ExaCrit, Renderal Studio LLC, or any third party. Your work is yours before, during, and after the critique process.

ExaCrit makes no claim to be a co-author, collaborator, co-creator, publisher, or rights holder in any work you submit. The act of receiving a critique, including a score, written feedback, or next-step recommendations, does not create any joint authorship, creative contribution, or intellectual property interest on ExaCrit's part.

2. NO COPYRIGHT TRANSFER: EVER

Nothing in these legal documents, not the Terms of Service, Privacy Policy, or this Intellectual Property & Copyright Notice, constitutes a transfer, assignment, conveyance, or permanent license of copyright or any other intellectual property right from you to ExaCrit.

The only rights ExaCrit holds in Your Content are the strictly limited processing rights described in Section 3 below and in Section 4.2 of the Terms of Service. Those rights exist solely to deliver the Service to you.

Explicit prohibition: ExaCrit will never assert copyright ownership, co-authorship, or any other intellectual property claim over creative work you submit.

3. THE PROCESSING LICENSE: WHAT IT IS AND WHAT IT IS NOT

3.1 What the License Covers

By submitting Your Content to ExaCrit, you grant ExaCrit a limited, non-exclusive, worldwide, royalty-free, revocable license, solely to:

  • Access, ingest, and process Your Content to generate your Critique Output
  • Transmit Your Content to authorized Sub-Processors (including Anthropic's API) solely to generate your Critique Output
  • Temporarily store Your Content on ExaCrit's infrastructure and designated Sub-Processor storage as necessary to deliver the Service
  • Display Critique Output back to you within your Account dashboard and critique history
  • Cache or serve Your Content through content delivery infrastructure as required for platform performance

3.2 What the License Does NOT Cover

This license explicitly does NOT permit ExaCrit to:

  • Sell, sublicense, publicly display, distribute, or reproduce Your Content for any purpose beyond Service delivery
  • Use Your Content for advertising, marketing, or promotional purposes without your explicit prior written consent
  • Share Your Content with any party other than the authorized Sub-Processors listed in the Terms of Service
  • Use Your Content to train, fine-tune, benchmark, or improve any AI model
  • Create derivative works from Your Content
  • Claim any commercial benefit from Your Content beyond the service fees you pay

3.3 License Termination

The limited processing license granted to ExaCrit continues only for as long as reasonably necessary to process Your Content and provide the applicable Service functionality. Uploaded creative files are deleted from ExaCrit's file storage no later than 24 hours after the critique is generated. ExaCrit may retain Critique Output, scores, account information, and other non-file data as described in the Privacy Policy. After deletion of the uploaded file, ExaCrit will not continue to use that file except to the extent required by law or an applicable temporary backup or security process.

4. YOUR RESPONSIBILITY FOR THIRD-PARTY RIGHTS

CRITICAL: ExaCrit does not review submitted work for copyright clearance, trademark clearance, or any other IP assessment. Our critique is a creative opinion only, never a legal determination. That responsibility is entirely yours.

You are solely and exclusively responsible for ensuring that any creative work you submit to ExaCrit:

  • Does not infringe any third-party copyright, trademark, trade dress, patent, trade secret, right of publicity, or right of privacy
  • Does not reproduce copyrighted material, including stock images, licensed photography, brand assets, fonts, illustrations, or any other third-party creative work, without proper license, assignment, or fair use justification
  • Does not include trademarked logos, characters, brand identities, or protected brand assets owned by third parties without appropriate rights
  • Does not contain confidential or proprietary information belonging to a client, employer, collaborator, or any third party that you are not authorized to share externally
  • Complies with applicable licensing terms for any third-party creative assets incorporated into the submitted work, including stock image licenses, font licenses, music licenses, and open source licenses
  • Does not violate any employment agreement, client agreement, non-disclosure agreement, work-for-hire provision, or IP assignment clause that restricts your ability to share the work externally
  • Does not infringe any moral rights held by the original creator where applicable under local law
  • Complies with any platform terms of service from platforms where your submitted work may also be posted or published

ExaCrit bears no liability for any intellectual property infringement, breach of contract, or legal violation arising from creative work you submit. Any legal claims, disputes, or liabilities arising from third-party rights in Your Content are your sole responsibility.

5. EXACRIT IS NOT A PARTY TO YOUR CREATIVE RELATIONSHIPS

ExaCrit has no involvement in, no knowledge of, and no responsibility for:

  • Agreements between you and your clients, employers, studios, agencies, or collaborators
  • Contracts, briefs, statements of work, or licensing arrangements related to your submitted work
  • Ownership disputes over creative work between you and any third party
  • Non-disclosure agreements, work-for-hire provisions, or IP assignment clauses in your employment or client agreements
  • Platform terms of service from other platforms where your submitted work may also be posted
  • Client briefs, brand guidelines, campaign mandates, or internal approval processes governing the submitted work
  • Any obligations you owe to third parties in connection with the creative work you submit

Any legal rights, obligations, or disputes arising between you and third parties in connection with creative work you submit to ExaCrit are entirely between you and those parties. ExaCrit is not a party to those arrangements and accepts no liability, responsibility, or obligation arising from them.

What this means practically: If a client owns the work you submit, you need their permission. If your employer owns it, you need theirs. ExaCrit cannot know and cannot check. That responsibility is yours alone.

6. EXACRIT'S PROPRIETARY RIGHTS

Renderal Studio LLC owns all right, title, and interest in and to the ExaCrit platform and its proprietary materials, including its software, original website content, brand assets, scoring rubric, evaluation framework, human-authored methodology, system prompts, and other protectable content. • The four evaluation modes (Brand System, Marketing Collateral, Single Asset, Series Critique) and their associated intake question frameworks
  • The scoring scale language for all four modes
  • The Goal, The Loupe, The Checks, and The Tally: the named stages of ExaCrit's evaluation process, and the methodology underlying each
  • The Thread: the two-round critique architecture and resubmit framework

6.3 Platform and Content

  • All website and application copy, including all section copy, CTAs, FAQ responses, and onboarding text
  • All user interface design, user experience flows, and interaction patterns
  • All software, algorithms, APIs, and technical infrastructure underlying the Service

6.4 Critique Output

Critique Output may include material generated through artificial intelligence. To the extent intellectual-property rights in Critique Output arise from ExaCrit's protectable platform materials, methodology, or other ExaCrit-authored content, those rights are reserved by Renderal Studio LLC. To the extent rights arise from Your Content or other protectable expressive material supplied by you, those rights remain yours. Nothing in this Notice represents that every AI-generated portion of Critique Output is independently eligible for copyright protection.

Your permitted uses of Critique Output are described in Section 7 below.

Nothing in these Terms, the Privacy Policy, or this Notice grants you any right, title, or interest in ExaCrit's intellectual property beyond the permitted uses described in Section 7. You may not copy, reproduce, extract, reverse-engineer, modify, or create derivative works from any ExaCrit proprietary element without prior written consent.

7. CRITIQUE OUTPUT: WHAT YOU CAN AND CANNOT DO

7.1 Permitted Uses

You are permitted to use your Critique Output for the following purposes:

  • Personal, professional, and commercial creative improvement and decision-making
  • Sharing excerpts of your Critique Output in your portfolio, client presentations, or professional materials, with attribution to ExaCrit
  • Referencing your ExaCrit score or evaluation result in professional, social media, or marketing contexts, with attribution
  • Printing or saving your Critique Output for personal reference and archival purposes
  • Sharing specific feedback points with clients or collaborators as part of your creative process, with attribution to ExaCrit

7.2 Prohibited Uses

You may NOT use Critique Output to:

  • Claim that Critique Output was produced by a human Creative Director, human art director, or any person, rather than ExaCrit's AI system
  • Misrepresent the source, nature, methodology, or authorship of Critique Output in any context
  • Resell, redistribute, sublicense, or commercially exploit Critique Output as a standalone product, competing service, or commercial offering
  • Use Critique Output to train, fine-tune, benchmark, evaluate, or build any AI or machine learning model
  • Systematically extract, aggregate, or compile Critique Output to reverse-engineer ExaCrit's methodology, scoring rubric, or system prompt
  • Use Critique Output in any way that disparages, misrepresents, or harms ExaCrit's brand or reputation

7.3 Attribution Standard

When sharing or referencing Critique Output publicly, the following attribution is required: "Critique by ExaCrit, exacrit.com." Attribution must be reasonably prominent and not obscured or misrepresented.

8. AI-GENERATED OUTPUT: LEGAL DISCLOSURES

ExaCrit's Critique Output is generated by artificial intelligence. The following disclosures are made in compliance with applicable law and FTC guidance on AI-generated content:

  • Critique Output is AI-generated and is not produced by a human Creative Director, human art director, or any human reviewer, though it is informed by Creative Director-level methodology and rubric design
  • ExaCrit discloses the AI-generated nature of all Critique Output as required by applicable law, including FTC guidance on endorsements, reviews, and AI disclosures
  • ExaCrit makes no representation about the training data composition of the underlying Anthropic Claude AI model
  • AI-generated Critique Output does not constitute an expert legal determination of any kind, including copyright originality, trademark clearance, right of publicity clearance, or any other legal assessment
  • A high ExaCrit score does not imply that submitted work is legally original, commercially viable, free from third-party claims, or suitable for any particular commercial purpose
  • Critique Output may vary between identical submissions due to the probabilistic nature of AI systems; ExaCrit does not guarantee identical output for identical input
  • ExaCrit does not warrant that Critique Output accurately reflects the views of any human Creative Director, industry professional, or target audience
FTC Compliance: In any public use of Critique Output, including social media posts, portfolios, and marketing materials, users must not represent AI-generated critique as human expert opinion. Attribution to ExaCrit's AI system is required.

9. NO AI TRAINING

ExaCrit makes the following commitment regarding AI training:

  • ExaCrit does NOT use Your Content, including submitted images, files, designs, or intake responses, to train, fine-tune, benchmark, evaluate, or improve any AI model
  • Under Anthropic's current commercial-product terms and policies, Anthropic does not use commercial API inputs or outputs for model training by default. Anthropic's retention and processing of submitted content are governed by the commercial terms applicable to ExaCrit's account
  • ExaCrit does NOT use Critique Output generated for your submissions to train or improve ExaCrit's own AI methodology without separate explicit written consent
  • This commitment applies regardless of whether your Account is active, cancelled, or deleted

ExaCrit will not change this commitment without updating these Terms and the Privacy Policy and providing notice as described in Section 17.

If you believe this commitment has been violated, contact hello@exacrit.com immediately.

10. TRADEMARK NOTICE

10.1 ExaCrit Trademarks

"ExaCrit" is a trademark of Renderal Studio LLC. "Renderal Studio" is a trademark of Renderal Studio LLC. All rights reserved. Unauthorized use of these marks, including in domain names, social media handles, product names, or company names, is prohibited and may constitute trademark infringement and unfair competition under applicable law.

10.2 Permitted Trademark Use

You may refer to ExaCrit by name in truthful, non-misleading ways, for example, "I received a critique from ExaCrit" or "Reviewed by ExaCrit." You may not use ExaCrit's name or marks in ways that imply endorsement, partnership, affiliation, or official relationship without prior written consent.

10.3 Third-Party Trademarks

All third-party trademarks, service marks, and trade names referenced on the ExaCrit platform, including Anthropic, Google, Stripe, Vercel, Supabase, and any other named services, are the property of their respective owners. ExaCrit's reference to these marks does not imply any endorsement or affiliation.

10.4 Trademark Infringement Reports

If you believe your trademark rights are being infringed through ExaCrit's platform, contact hello@exacrit.com with the subject line "Trademark Infringement Notice." Include the mark at issue, your rights in the mark, and a description of the alleged infringement.

11. TRADE SECRETS AND PROPRIETARY METHODOLOGY

The following elements of ExaCrit's platform constitute protectable trade secrets under the Defend Trade Secrets Act (DTSA), 18 U.S.C. § 1836, and applicable state trade secret law, including the California Uniform Trade Secrets Act (CUTSA):

  • The ExaCrit AI system prompt architecture, including all layers, logic, compliance frameworks, and appendices
  • The six-category scoring rubric, including all weights, criteria, and internal evaluation logic
  • The methodology underlying the four evaluation modes and their intake question frameworks
  • The Goal, The Loupe, The Checks, and The Tally process stages, and The Thread resubmit-comparison architecture, including the mechanics underlying each
  • All proprietary algorithms, scoring formulas, and technical implementations

You agree not to reverse-engineer, decompile, disassemble, or attempt to extract any of these trade secrets through use of the Service, analysis of Critique Output, or any other means. Violation of this section may result in immediate Account termination and legal action.

12. DMCA: COPYRIGHT INFRINGEMENT CLAIMS

12.1 ExaCrit's DMCA Policy

ExaCrit respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512. ExaCrit has registered a designated DMCA agent with the U.S. Copyright Office (Registration No. DMCA-1078394) as required for Section 512(c) safe harbor eligibility. Agent registration is necessary for safe harbor eligibility but does not, by itself, guarantee safe-harbor protection; Section 512(c) includes additional requirements including notice-and-takedown procedures, and Section 512(i)(1) separately conditions safe harbor on adoption and reasonable implementation of a repeat-infringer policy and accommodation of standard technical measures.

12.2 How to Submit a Takedown Notice

If you believe that creative work submitted by another user to ExaCrit infringes your copyright, you may submit a written DMCA takedown notice to ExaCrit's designated DMCA agent:

DMCA Agent
Copyright Agent, Renderal Studio LLC
Email
hello@renderalstudio.com, Subject: "DMCA Takedown Notice"
Mailing Address
P.O. Box 1413, Simi Valley, CA 93062, United States

Your DMCA takedown notice must include ALL of the following to be valid:

  • (1) A physical or electronic signature of the copyright owner or a person authorized to act on behalf of the copyright owner
  • (2) Identification of the copyrighted work claimed to have been infringed; if multiple works are covered by a single notice, a representative list of such works
  • (3) Identification of the material claimed to be infringing and information reasonably sufficient to permit ExaCrit to locate the material on the platform
  • (4) Your contact information: full name, mailing address, telephone number, and email address
  • (5) A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law
  • (6) A statement, made under penalty of perjury, that the information in the notification is accurate, and that you are the copyright owner or authorized to act on behalf of the copyright owner

Incomplete notices will not be processed. Knowingly submitting a false DMCA notice may result in liability for damages, including costs and attorneys' fees, under 17 U.S.C. § 512(f).

12.3 ExaCrit's Response to Takedown Notices

Upon receipt of a valid DMCA notice, ExaCrit will:

  • Promptly remove or disable access to the allegedly infringing material
  • Notify the user who submitted the material that it has been removed
  • Provide the submitting user with information about the DMCA counter-notice process

12.4 Counter-Notices

If your content was removed in response to a DMCA notice and you believe the removal was in error or based on misidentification, you may submit a written counter-notice to hello@renderalstudio.com with the subject line "DMCA Counter-Notice." Your counter-notice must include:

  • (1) Your physical or electronic signature
  • (2) Identification of the material that was removed and its location before removal
  • (3) A statement, under penalty of perjury, that you have a good faith belief the material was removed as a result of mistake or misidentification
  • (4) Your name, address, and telephone number
  • (5) A statement that you consent to the jurisdiction of the Federal District Court for the judicial district in which your address is located, or, if your address is outside the United States, any judicial district in which Renderal Studio LLC may be found, and that you will accept service of process from the person who submitted the original infringement notice or that person's agent

Upon receipt of a valid counter-notice, ExaCrit will forward it to the original complainant and may restore the material within 10 to 14 business days unless the complainant files a court action.

12.5 Repeat Infringer Policy

ExaCrit maintains a firm policy of terminating the Accounts of users who are determined, in ExaCrit's reasonable judgment, to be repeat infringers of third-party intellectual property rights. This policy is adopted and reasonably implemented as required by 17 U.S.C. § 512(i)(1)(A). Accounts terminated under this policy are not eligible for reinstatement.

12.6 Limitation on ExaCrit's Liability

ExaCrit is not responsible for verifying the accuracy of DMCA notices submitted by third parties. ExaCrit's removal of content in response to a DMCA notice is not an admission that the removed content was infringing. ExaCrit will not be liable for any damages arising from good-faith compliance with valid DMCA notices.

13. REVERSE ENGINEERING AND PLATFORM INTEGRITY

You agree NOT to:

  • Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, methodology, system prompt, scoring logic, or evaluation framework underlying the ExaCrit platform or Critique Output
  • Use automated tools, scripts, or systematic methods to analyze Critique Output patterns with the intent of reconstructing ExaCrit's proprietary methodology
  • Attempt to access ExaCrit's systems, APIs, databases, or infrastructure through unauthorized means
  • Attempt to intercept, capture, or analyze API traffic between ExaCrit and its Sub-Processors
  • Use the Service to develop, train, or improve a competing AI-powered creative critique platform

Violation of this section constitutes misappropriation of trade secrets and may give rise to civil and criminal liability under the Defend Trade Secrets Act, the Computer Fraud and Abuse Act (CFAA), and applicable state law.

14. OPEN SOURCE COMPONENTS

ExaCrit's platform may incorporate open source software components. Such components are used in accordance with their applicable open source licenses. ExaCrit's use of open source components does not affect the proprietary status of ExaCrit's own platform, methodology, or brand assets described in Section 6. No open source license grants you any rights in ExaCrit's proprietary intellectual property.

A list of open source components used by ExaCrit is available upon written request to hello@exacrit.com.

15. INTERNATIONAL INTELLECTUAL PROPERTY PROTECTIONS

ExaCrit's intellectual property rights are claimed and protected globally. This Notice and ExaCrit's IP rights are recognized and enforceable in all jurisdictions where ExaCrit operates or makes the Service available, including:

  • United States: Copyright Act (17 U.S.C.), Lanham Act (trademark), Defend Trade Secrets Act, Digital Millennium Copyright Act
  • European Union: EU Copyright Directive, Community Trademark Regulation, EU Trade Secrets Directive
  • United Kingdom: Copyright, Designs and Patents Act 1988, Trade Marks Act 1994
  • Canada: Copyright Act, Trade-marks Act
  • Australia: Copyright Act 1968, Trade Marks Act 1995
  • Latin America: IP protections under applicable national law and TRIPS Agreement obligations

If you believe your intellectual property rights have been infringed in connection with ExaCrit's platform, contact hello@exacrit.com. ExaCrit will cooperate with valid IP enforcement requests from rights holders in all jurisdictions.

16. ENFORCEMENT

ExaCrit reserves the right to enforce its intellectual property rights to the fullest extent permitted by applicable law. Violations of this Notice, including unauthorized use of ExaCrit's trademarks, reverse engineering of proprietary methodology, misuse of Critique Output, or misrepresentation of AI-generated output as human work, may result in:

  • Immediate Account suspension or termination without refund
  • Civil legal action for copyright infringement, trademark infringement, trade secret misappropriation, or unfair competition
  • Injunctive relief to prevent ongoing or threatened violations
  • Claims for actual damages, statutory damages, lost profits, and attorneys' fees where available under applicable law

ExaCrit's decision to not immediately enforce any provision of this Notice does not constitute a waiver of ExaCrit's right to enforce that provision at any future time.

17. CHANGES TO THIS NOTICE

ExaCrit may update this Intellectual Property & Copyright Notice from time to time. Material changes will be communicated via email to the address associated with your Account and via prominent notice on the platform at least 14 days before taking effect. Your continued use of the Service after the effective date of any updated Notice constitutes your acceptance of the revised terms. If you do not agree to a material change, you may close your Account before the change takes effect.
